Bruce joined Leadenhall in 2017 after spending several years in the Audit and Assurance industry with Deloitte and PwC in Singapore and Australia.
Since joining Leadenhall, Bruce has been involved in the preparation of a number of independent expert reports, valuations for taxation and financial reporting purposes and providing commercial advice to assist senior management, boards and shareholders evaluate M&A transactions and capital raising alternatives.
Independent Expert Reports
Bruce has prepared a number of independent expert reports for scheme of arrangement, compulsory buyout and shareholders acquiring a greater than 20% interest, including:
City Pharmacy Ltd (PNG) – proposed capital raising
Crocmedia – reverse takeover of Pacific Star Network
Enwave Australia – compulsory buyout as part of a group restructure
Janison Solutions – reverse takeover of HJB
Namoi Cotton – scheme of arrangement as part of a group restructure
South American Iron and Steel – proposed acquisition of an Australian meat exporter
Bruce has prepared valuations for income tax, CGT and stamp duty purposes for clients including Beiersdorf Australia, Bis Industries, SQM Australia and Tarac Australia.
Bruce is involved in the preparation of purchase price allocation (“PPA”) analysis, consisting of the valuation of intangible assets, and valuation of share based payments for clients including Alfred Medical Imaging, ALI Group, Australasian Foods, Cover-More Insurance Group, Infomedia, Local Agent Finder, Managed Accounts, Mayne Pharma, Pacific Current Group and ReadyTech Group.
Infrastructure & Energy
Bruce is also involved in providing commercial advice for clients in the Infrastructure and Energy sectors such as Brookfield Infrastructure Group, CK William Australia, Energy Developments Ltd and Equipsuper (specifically its interests in a state-based private port operator).
